Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of Spark Talent Management (the "Platform"), operated by CodingIT ("CodingIT", "we", "us", or "our"). By accessing or using the Platform, you agree to these Terms. If you are using the Platform on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

1. Eligibility and Accounts

Access to the Platform is provided by invitation or registration through your employer or client organization. You must provide accurate information and keep your account credentials confidential. You are responsible for all activity that occurs under your account.

2. Description of Service

The Platform provides tools for workforce and talent management, including crew member profiles, capacity planning, time-off management, job postings and applications, employee onboarding, administrative dashboards, accounting integrations, and related features.

3. User Roles and Permissions

The Platform assigns different roles (e.g., admin, company owner, project manager, crew member, human resources, account manager) with corresponding access levels. Your organization's administrators are responsible for assigning and managing these roles appropriately.

4. Acceptable Use

You agree not to:

  • Submit false, misleading, or fraudulent information;
  • Access data belonging to other users or organizations without authorization;
  • Interfere with or disrupt the integrity or performance of the Platform;
  • Attempt to gain unauthorized access to the Platform or its related systems;
  • Use automated means (bots, scrapers) to access the Platform without our prior written consent;
  • Upload malicious code or content that infringes the rights of others.

5. Job Applications and Careers Pages

If you submit a job application through the Platform's public careers pages, you consent to your submitted information (including your resume/CV and screening answers) being shared with the hiring organization for recruitment purposes.

6. Third-Party Integrations

The Platform may integrate with third-party services such as QuickBooks and Google Maps. Use of these integrations is subject to the applicable third party's own terms of service.

7. Intellectual Property

All content, features, and functionality of the Platform, including software, text, graphics, logos, and trademarks, are owned by CodingIT or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right to use CodingIT's trademarks without prior written consent.

8. Confidentiality

Information accessed through the Platform relating to employees, crew members, clients, or business operations may be confidential. You agree to use such information solely for its intended business purpose and not to disclose it to unauthorized third parties.

9. Subscriptions and Client Organizations

Access to the Platform is generally provided to individual users through their employer or client organization's arrangement with CodingIT. Fees, billing, and subscription terms, where applicable, are governed by the separate agreement between CodingIT and the relevant organization.

10. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause or notice, including if you violate these Terms or if your relationship with the sponsoring organization ends. You may stop using the Platform at any time.

11. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind, express or implied. CodingIT does not warrant that the Platform will be error-free, secure, or available at all times.

12. Limitation of Liability

To the fullest extent permitted by law, CodingIT will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of data, revenue, or profits, arising from your use of or inability to use the Platform.

13. Indemnification

You agree to indemnify and hold CodingIT harmless from any claims, damages, or expenses arising from your misuse of the Platform or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which CodingIT is established, without regard to conflict-of-law principles. Any disputes will be resolved through the courts of that jurisdiction, unless otherwise required by applicable local law.

15. Changes to These Terms

We may revise these Terms from time to time. The "last updated" date at the top of this page reflects the most recent changes. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.

16. Related Policies

Your use of the Platform is also governed by our Privacy Policy and End-User License Agreement (EULA), both incorporated by reference into these Terms.
