End-User License Agreement (EULA)

This End-User License Agreement ("Agreement") is a legal agreement between you ("User", "you") and CodingIT ("CodingIT", "we", "us", or "our"), governing your access to and use of Spark Talent Management (the "Platform"). By accessing or using the Platform, you agree to be bound by this Agreement. If you do not agree, do not access or use the Platform.

This Agreement applies in addition to, and does not replace, our Terms and Conditions and Privacy Policy, both incorporated herein by reference.

1. Grant of License

Subject to your compliance with this Agreement, CodingIT grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for its intended purpose: managing crew members, capacity planning, time-off requests, job applications, employee onboarding, and related workforce-management functions on behalf of your organization.

This license lasts for as long as your account remains active and your organization's relationship with CodingIT remains in effect.

2. Restrictions

You agree that you will not:

  • Copy, modify, distribute, sell, or lease any part of the Platform or its underlying software;
  • Reverse-engineer, decompile, or disassemble the Platform, except where expressly permitted by applicable law;
  • Use the Platform to build or support a competing product or service;
  • Circumvent access controls, rate limits, or security measures;
  • Share your account credentials with unauthorized third parties;
  • Use the Platform for any unlawful purpose or in violation of applicable regulations.

3. Ownership and Intellectual Property

The Platform, including its source code, design, trademarks, logos, and all related intellectual property, is and remains the exclusive property of CodingIT and its licensors. This Agreement does not grant you any ownership interest in the Platform.

4. Your Data and Content

You retain ownership of the data you or your organization submit to the Platform (e.g., employee records, timesheets, job applications, documents). You grant CodingIT a limited license to process, store, and display this data solely to provide and improve the Platform's functionality, in accordance with our Privacy Policy.

5. Third-Party Integrations

The Platform may integrate with third-party services, such as QuickBooks for accounting and Google Maps for location data. Your use of those integrations may also be subject to the respective third party's own terms and privacy policies.

6. Term and Termination

This Agreement remains in effect until terminated. CodingIT may suspend or terminate your access to the Platform at any time, with or without notice, if you breach this Agreement or if your organization's relationship with CodingIT ends. Upon termination, your license to use the Platform ceases immediately.

7. Disclaimer of Warranties

The Platform is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. CodingIT does not warrant that the Platform will be uninterrupted, error-free, or completely secure.

8. Limitation of Liability

To the maximum extent permitted by law, CodingIT will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform, even if advised of the possibility of such damages.

9. Updates to the Platform and This Agreement

CodingIT may update the Platform and this Agreement from time to time. Material changes will be communicated through the Platform or by other reasonable means. Continued use of the Platform after such changes constitutes acceptance of the updated Agreement.

10. Governing Law

This Agreement is governed by the laws of the jurisdiction in which CodingIT is established, without regard to conflict-of-law principles, unless otherwise required by applicable local law.
